1. Acceptance of Terms

By accessing or using ProfitGenie ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including merchants, fractional CFOs, brand operators, and team members invited to an organization.

2. Description of Service

ProfitGenie is a multi-channel e-commerce finance and analytics platform. The Service connects to your sales channels (including Shopify, Amazon, TikTok Shop, and Etsy) to provide contribution margin tracking, cohort analysis, unit economics, SKU analytics, demand planning, purchase order management, cash flow forecasting, and related financial reporting tools.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that all team members added to your organization comply with these Terms

4. Subscription and Billing

The Service is offered under subscription plans with varying feature limits. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Automatic renewal of your subscription at the end of each billing period unless cancelled
• Provide accurate billing information and keep it updated

Subscriptions may be billed through Stripe (for direct signups) or through Shopify's billing system (for Shopify App Store installations). Free plans are subject to usage limitations as described on our pricing page.

5. Data Access and Usage

By connecting your sales channels, you grant ProfitGenie permission to:

• Access and read order, customer, product, and marketing data from your connected channels
• Store and process this data to provide analytics and reporting services
• Use aggregated, anonymized data to improve the Service

We do not modify your store data. All data access is read-only. For details on how we handle your data, please refer to our Privacy Policy.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Share your account credentials with unauthorized third parties
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to compete directly with ProfitGenie

7. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by ProfitGenie and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You retain ownership of all data you provide to the Service.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, ProfitGenie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of your use of or inability to use the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. ProfitGenie does not warrant that the analytics, forecasts, or financial calculations provided by the Service are error-free. The Service is a decision-support tool and should not be the sole basis for financial decisions.

11. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through the billing settings in your account. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 48 hours after account closure, after which it will be permanently deleted unless legally required to retain it.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
